ASSIGNMENT OF MONIES The undersigned, ERNEST A. WILSON, Is the assignee of the contracts hereinafter described, and for value received, undersigned, hereinafter called Assignor, hereby assigns, transfers and sets over to BANK OF AMERICA NATIONAL TRUST AND SAVINGS ASSOCIATION, a national banking association, hereinafter called Bank, all monies now due or which may hereafter become due from LAS VEGAS LAND AND WATER COMPANY, a corporation, and/or Las Vegas Valley Water District, its successor, under said assigned contracts described as follows: CONTRACT ASSIGNED TO ASSIGNOR Date Parties On October 28, 1953 Heers Associates of Nevada and Las Vegas Land and Water Company Charles M. Heers Betty R. Heers December 1955 March 3, 1954 Twin Lakes Village, Inc., and Las Vegas Land and Water Company Twin Lakes Village, Inc. December 1955 Assignor hereby constitutes and appoints Bank its true, lawful and irrevocable attorney to demand, receive and enforce payments and to give receipts, releases, satisfactions for and to sue for all monies payable to Assignor and this may be done either in the name of Assignor or in the name of Bank with the same force and effect as Assignor could do if this assignment had not been made. Any and all monies or pay* ments which may be received by Assignor to which Bank is entitled under and by reason of this assignment will be received by Assignor as trustee for Bank, and will be immediately delivered in kind to Bank without commingling. Assignor hereby represents and warrants to Bank that the monies above assigned have not heretofore been alienated or assigned by Assignor. This assignment is irrevocable and shall remain in full force and effect until its release in writing by Bank.
