}„ Matters Which Should Be Examined by Mr. McNamee. 1. The Stewart deed referred to in Section 1(a) to ascertain the extent of the water right reserved. 2. All certificates of appropriation referred to in Section 1(c) to ascertain their legality and sufficiency under Nevada law. It also might be advisable to obtain from the title company a report showing all certificates of appropriation recorded in the name of Union Pacific, Salt Lake Railroad and the Water Company. 3. The certificate of appropriation reserved to Union Pacific in Section 2. 4. Examine Nevada law to ascertain whether the District should obtain an "assignment" of the franchise in the City of Las Vegas or should simply obtain from Union Pacific a "covenent not to exercise its franchise." I am not certain whether under Nevada law and the charter of the City of Las Vegas whether the District is required to obtain a "franchise" in order to operate within the City of Las Vegas. It may be that if the District is not required to obtain a franchise, it will not desire to acquire an assignment of 11.
