Clark, Chief Engineer and Manager, Las Vegas Valley Water District, 135 South hth Street, Las Vegas, Nevada Dear Mr, Clark: I am very sorry to have delayed so long in replying to your letter of June 3r& regarding the matter of negotiations for the purchase of the Las Vegas Land and Water Company water utilities in the City of Las Vegas, fhis delay was caused hy my desire to discuss with Union Pacific executives some of the questions having to do with the problem of whether we should begin exploring the possibilities of a negotiated sale or whether we should allow the matter to go to condem­nation. While as I explained to you on your visit to my office there are many convincing reasons why condemnation would seem prefer­able both from the water company viewpoint and from that of the water district, it has now been decided that if you and the District Board are agreeable to that procedure we are prepared to start discussions looking to the accomplishment of a negotiated sale. It would seem to me that the most orderly procedure for progressing these discussions would be that we first prepare a detailed inventory of the facilities which are necessary for the operation of the water company. This in­ventory could then be presented to you for such checking as you might see fit to make. Having agreed upon an inventory, the matter of getting together would seem to have been progressed very materially.
