The Chairman of the Executive Committee shall preside at all meetings of the Beard of Directors at which he shall be present* and in the absence of the Chairman the Board shall appoint one of their number to preside. ARTICLE III. Executive Committee. Section 1. The Board of Directors shall elect from their number at the first meeting of the Board after the annual election* or as soon thereafter as possible, an Executive Committee of three members, including a chairman to be elected by the Board, whose terms of office shall continue during the pleasure of the Board. The Executive Committee shall, when the Board of Directors is not in session, have all the powers of the Board of Directors to manage and direct all the.business and affairs of the Company, in such manner as said Committee shall deem best for the Company*s interests, in all cases in which specific directions shall not have been given by the Board of Directors. The Committee shall keep a full and'accurate record of all its acts and proceedings and report the same from time to time to the Board. Section 2, Regular meetings of the Executive Committee shall be held at such times and at such places in the City of Los Angeles, State of California, or elsewhere, as the Committee shall from time to time determine Special meetings may be called at any time by tbe Chairman and shall be called at the request of any member of the Committee, to convene at such time and place as may be appointed. Section 3. Any vacancy in the Committee shall be filled by the Board of Directors. Section 4. The Chairman of the Executive Committee shall preside at its meetings, and, subject to the control and approval of the Committee, shall represent it when not in session, and shall report to the Committee. -4 —
