I handled h i m a copy of a letter under date of May 26, 195*4 from H. E. B e n n e t t , General Solicitor of Union Pacific, to me. In this letter Mr. Bennett outlines the "pre­liminary purchase price" as determined b y the railroad auditors and states that this amount has been verified b y the District's accountants, Would you kindly have Mr. Conway examine said letter and provide us wi t h his comments and recommendations c o n ­cerning the matters covered therein. It will not be possible to prepare the escrow Instructions I n final form until we have Mr. Conway's recommendation o n the matter.
