Mr. Franklin Hamilton Suite 900 433 South Spring Street Los Angeles, California Dear Mr. Hamilton: For your information I attach copy of a letter dated February 5th from Mr. Maag, General Manager of the Water Company, to Mr. Reinhardt. I regret I do nd have copies of the maps he refers to as they were sent to Mr. Reinhardt, but I have looked them over, and I presume that Mr. Montgomery will handle the engineering feature of the matter. I am writing to you, with copy to Mr. McNamee, with respect to how this matter can be handled if the District is agreeable. You will recall that under Section 13 of the basic contract the Railroads and the Water Company agree that from and after the date of the agreement they will not "without the precedent approval of the District - (a) sell, transfer, or encumber any of the property to be transferred to the District pursuant to this agreement, except as otherwise provided in Section 12 hereof." It would seem to me that this matter might be handled in two ways. The first of these would be to have the Water Company, which now owns the land, and the District join in the easements with a recital therein substantially to the effect that the Water District has entered into this easement to evidence their approval to the granting of said easements by the Water Company pur- \ suant to the provisions of Section 13 of that certain agreement, etc. The other method might be to have a resolution passed by the Water District approving and consenting to the execution of these easements by the Water
