    COMMENTS AND RECOMMENDATION UPON DRAFT OF AGREEMENT DATED MARCH 16, 1953 FOR SALE OF UNION PACIFIC WATER FACILITIES. We have a number of minor changes and additions to the phraseology of the proposed agreement. These minor changes will not be covered by this memorandum since it is believed that most of them can be ironed out when further negotiations are had with Union Pacific. This resume will cover only the principal changes which should be brought to the attention of the Directors. Contract Changes: 1 . Properties to be transferred (Section l). We recommend the addition of the following items of property to be transferred to the Water District: (a) Lands, easements and rights of way in the City of Las Vegas which are necessary in the distribution of water. (b) All shop equipment, materials and supplies neces­sary for the production of water. (c) All maps, books and records in connection with the water facilities. Comment: The Union Pacific draft failed to include any of the necessary easements or rights of way owned by it in the City of
