Hamilton O'Melveny & Myers 433 South Spring Street Los Angeles 13# California Dear Frank: Re: Sale of Las Vegas Water System to Las Vegas Valley Water District I enclose rough drafts of most of the documents required to transfer the Las Vegas water system to the District which we will discuss on Thursday of this week. The documents in all cases are not complete, but sufficient information is con tained to permit you to pass upon their form. I am not sending copies of the grants of easements which are attached as Exhibits "F" and ,!F-1" to the contract of June 1, 1953* It is proposed that the documents which will be executed will be identical in form with those two exhib­its except that with respect to Exhibit "Fn the description of Easement Strip 6 will be omitted and the descriptions of the remaining easement strips will be renumbered appropri­ately. You will recall that an easement for the pipe line located in Easement Strip 6 was granted to the Las Vegas Land and Water Company on March 31# 1954, by a grant of easement identical in form with Exhibit "F”. This document was re­corded April 22, 1954, as Document 8686, Book 7, of Official Records in the office of the County Recorder of Clark County, Nevada. The interest of the Las Vegas Land and Water Company under this easement will be conveyed to the District as one of the easements referred to in the instrument transferring interest in real and personal property which is designated as Exhibit “E” and attached to the agreement of June 1, 1953.
